Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the inferonIQ platform and related services. By accessing or using inferonIQ, you agree to be bound by these Terms.

1. Service Description

inferonIQ is an AI enterprise intelligence platform that provides natural language to SQL query capabilities, financial intelligence (invoice matching, spend analytics, payment leakage detection), and contract intelligence (AI extraction, risk analysis, compliance monitoring). The platform deploys within your infrastructure using a Bring Your Own Cloud (BYOC) model.

2. Account Registration

To access inferonIQ, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Acceptable Use

You agree to use inferonIQ only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform to violate any applicable law or regulation
• Attempt to gain unauthorized access to any systems or data
• Reverse engineer, decompile, or disassemble the platform software
• Use the platform to process data you do not have the right to access
• Interfere with or disrupt the platform's operation

4. Data Ownership & Privacy

You retain full ownership of your data. inferonIQ connects read-only to your data sources. Your business data remains exclusively within your infrastructure. We do not access, store, or transmit your business data to external servers.

5. Pricing & Payment

Gain-Share Model

Under the gain-share pricing model, fees are calculated as a percentage (typically 15–30%) of verified recovered savings. Fees are due only after savings are confirmed and documented. If no savings are identified, no fees are owed.

Enterprise License

Enterprise license fees are specified in a separate Order Form or Statement of Work. Annual licenses include all modules, unlimited users, and dedicated support as described in the applicable agreement.

6. Service Level

inferonIQ targets 99.9% uptime for cloud-managed deployments. For BYOC and self-hosted deployments, availability is determined by your infrastructure. We provide reasonable support and maintenance as described in your service agreement.

7. Intellectual Property

The inferonIQ platform, including all software, algorithms, models, documentation, and trademarks, is the intellectual property of inferonIQ. These Terms grant you a limited, non-exclusive, non-transferable license to use the platform in accordance with your subscription.

8. Limitation of Liability

To the maximum extent permitted by law, inferonIQ's total liability for any claims arising from these Terms or your use of the platform shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless inferonIQ from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate the service agreement with 30 days' written notice. Under the gain-share model, you may discontinue at any time — fees are only owed on savings already identified and confirmed. Upon termination, your access to the platform will be deactivated, and any locally stored metadata will be deleted from the deployment.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance.
